议应视为甲方同乙方之间的完整合同。它取代以前所有的口头或书面的谈判、汇报或协议。若要修改,必须有双方的书面同意。

9.3 不可抗力导致的终止合同:如果不可

抗力发生,如行政命令、政策法规、战争、自然灾害(如洪水或地震)或其他超出合同双方控制的事件,因而一方无法履行合同,受到不可抗力影响的一方可以提前十五天书面通知对方终止合同,双方互不承担违约责任。

9.4 不可抗力时的设计费用支付:不可

抗力发生时,甲方决定终止合同,乙方在合同终止日为止所提供的一切服务都应得到报酬。一旦应付款已付清,乙方将提供甲方在合同终止日前完成的所有设计文件。

9.2 Entire Agreement:This Agreement

together with its attached exhibits is the entire understanding between the Parties on this Project design, and merges all prior discussions, negotiations and agreements between them, whether oral or written, express or implied. No alterations or modifications of this Agreement shall be binding upon either Party unless made in writing and signed by an authorized representative of each. 9.3 The

non-performance

or

delay

in

performance by either Party, of any obligation under the Agreement shall be excused if and to the extent that such non-performance, delay or responsibility is caused by an event of Force Majeure. Upon the occurrence of any event of Force Majeure, the Party suffering therefore shall immediately give the other Party written notice thereof including a statement describing the event of Force Majeure and its effect upon the performance of the Agreement. The suffering Party can terminate the Agreement by 15-day prior notification of the other Party in writing without any liability. The Force Majeure includes orders of the government, policy and regulations of PRC, war, and natural disaster (such as earthquake and flood). 9.4 If Party A terminates the Agreement due to

Force Majeure, all work completed by Party B and delivered to Party A shall be paid for in accordance with the Agreement. Upon settlement of the relevant fees, Party A has the ownership and intellectual property rights of the design work.

9.5 通知:除本合同另有规定的外,通

知以传真、电子邮件、邮局挂号、快递等方式。如通知以传真或电子邮件方式,则以发传真或电字邮件当日为送达日;如通知以邮局挂号或快递方式寄送的,则甲方收到日为送达日。

9.6 纠纷解决:本合同在履行过程中发生

纠纷,甲方与乙方应协商解决。协商不成时,可向中国境内甲方所在地有管辖权的人民法院提起诉讼,并遵守其根据中国法律所做出的裁决。

9.7 本合同书双方签字后,表明双方在指

明的日期同意上述合同书条款。同时也表明双方有完全和最终权威使各自代表的一方能完全遵守本合同所列条款。

9.8 本合同要求甲方提供的相关资料和

文件与本合同一并使用,并与本合同具有同等法律效力,如两者之间有不符之处,以本合同为准。

9.9 本合同未尽事宜,双方可签订补充协

议作为附件,补充协议与本合同具有同等法律效力。经双方协商签订的补

9.5 Notice: Unless otherwise provided

herein, all notices or communications to be made and related to this Agreement must be sent by facsimile, mail, courier, or e-mail, which takes effect when dispatched to the address listed below in this Agreement. Notwithstanding the foregoing, any notices or communications sent by express courier shall be effective on the date Part A’s receipt of dispatch.

9.6 This Agreement shall be construed and

governed by the law of the People’s Republic of China. Any disputes concerning the construction or interpretation of this Agreement or a Party’s performance of its obligations hereunder, which are not resolved through good faith consultation between the Parties, may thereafter be submitted

by

either

Party

to

the

non-exclusive jurisdiction of the Shenzhen District Courts.

9.7 Upon signature of both Parties, the Parties

agree to be bound by all the articles of the Agreement from the date of signature. Furthermore, such signature can be deemed as that each Party has the full power and authority to perform this Agreement.

9.8 The documents provided by Party A in

accordance with the Agreement have the same effect with the Agreement. In the event that there are conflicts between the Agreement and the documents above, the Agreement shall prevail.

9.9 Should any other issues occur, the two

sides may enter into a supplementary agreement which shall be legally binding. In the event that there is any conflict between

9.10 合同一式四份,双方各持二份,具

有相同的法律效力。

9.11 本合同中文版本与英文版本不一

9.10 This Agreement is made in four copies,

each of which is original and equally authentic. Each Party will preserve two copies.

9.11 In the event of any difference in

interpretation or understanding because of language, the Chinese version of this agreement shall prevail.
